Tomasz Dubij specializes in asset financing, M&A, JV, corporate restructuring, commercial contracts and W&I insurance. 

He has over 22 years of professional experience under his belt.

Tomasz has participated in dozens of leasing transactions, including leases of assets such as shopping malls, hotels, offices, warehouses, cargo airport warehouses, cold stores, truck service centres, wind farms, gas grids, production lines, public transport (buses, electric multiple unit trains), etc.

He has also advised clients outside of the transactional context on critical legal issues having a key impact on the functioning of the leasing industry and on various events in the course of performance of lease contracts.

He has co-drafted standard legal documentation for leasing companies (relating to real estate and movable property leases), issued legal opinions (for the Polish Leasing Association among others) on draft legislation to amend laws affecting the leasing industry and has also prepared expert opinions and legal opinions for leasing enterprises.

Tomasz has taken part in dozens of M&A and JV transactions and corporate restructuring deals. 

His unique experience also includes legal advice on W&I insurance in M&A and real estate transactions, giving him unparalleled insight in these areas, a solid understanding of the intricate mechanisms of the M&A process and good knowledge of the legal documentation used by major market players.

  • Advising an Asian investor on a JV transaction with a European plant protection product manufacturer.
  • Advice on W&I insurance of the transaction involving the sale of the main Polish manufacturer of public transport vehicles.
  • Advice on W&I insurance of the transaction involving the sale of a leading Polish hosting provider.  
  • Advice on a corporate restructuring of a major Polish road and bridge contractor.
  • Advice on a corporate restructuring of a major Polish cigarette filter manufacturer.
