Sławomir Lebioda’s experience spans across civil, commercial, corporate, employment and copyright laws. He has over 9 years of professional experience.

His experience includes advising on a wide range of cases, including various aspects of civil law, commercial transactions, corporate restructuring and real estate lease projects. In his practice, he has drafted, negotiated and reviewed numerous agreements signed by and between domestic and international entities, drafted documentation relating to the incorporation and acquisition of companies, and provided advice on day-to-day corporate matters. His experience includes projects from various fields, including in particular real estate, financial, motorway and railway sectors. He has taken part in numerous asset acquisition deals and legal due diligence reviews both in respect of corporate vehicles and real estate.

His experience includes drafting and filing court briefs and representing clients in court.

Selected experience:

  • Conducting legal due diligence review for the purpose of leaseback transactions, negotiating transaction documentation.
  • Advising a global client on the sale of an organized part of business of its Polish subsidiary as part of a global transaction involving the spin-off and transfer of an organized part of the business between two chemical industry leaders.
  • Advising a foreign client in the process of liquidation of its Polish company.
  • Preparation of full commercial documentation for a mineral water producer.
  • Representing management board members of a Polish company in proceedings concerning personal responsibility for the company's liabilities.
  • Advising investors on a transfer of shares in a Polish company to an overseas vehicle and restructuring the company's debt through multi-jurisdictional equity financing.
  • Advising on a PLN 150 m debt restructuring for a corporate group owning a major drugstore chain in Poland.
  • Successfully representing a foreign client in connection with a dispute with an insurance firm over refusal to pay out a performance bond, concluded with a win before the trial court (which granted all claims) and the subsequent settlement whereby the client cashed in over PLN 28 million.
  • Advising on a dispute with a former employee over infringement of the no-compete clause following termination of employment.
  • Advising an overseas highway contractor on numerous court disputes with the investor and subcontractors over performance of a contract to construct a stretch of the A4 motorway.
  • Drafting last resort appeals to the Supreme Administrative Court in a number of cases, including in connection with selection of the best bid in a procedure under the Act on Concession Agreements for Construction Works and Services.
  • Advising an overseas client on compliance with the obligation to publish and register a notice on the opening of insolvency proceedings under Council Regulation (EC) No. 1346/2000 of 29 May 2000 on insolvency proceedings.
  • Representing a construction company in insolvency proceedings of a bitumen supplier for the construction of the A1 motorway.
