ROBERT SEMCZUK

Robert Semczuk specializes in commercial, corporate, M&A, corporate restructuring and private international law.

 

He has experience in developing and implementing corporate restructuring processes of domestic and international companies and corporate groups, including mergers, transformations, spinoffs and liquidations. He also provides post-closing support in restructuring projects, including filings made with relevant registers.

 

Robert has taken part in numerous joint venture transactions, asset and share acquisition deals, as well as legal due diligence reviews of companies.

 

He advises foreign entities on entering the Polish market. Legal services in this area include advice on creating optimal legal structures for clients, as well as assistance in drafting and negotiating transaction documentation with potential counterparties.

 

His experience also includes issuing opinions and drafting corporate documentation and commercial contracts, with a special focus on international distribution agreements, as well as representing clients before registry courts in various types of registration procedures.

 

Robert speaks fluent English and French and conversational Persian.

  • Implementation of corporate reorganization of a Polish corporate group owned by an US-based investor (including transformation, merger and liquidation of group members).
  • Advising French, Luxembourg, German, UK, Singapore and Iranian investors on entering the Polish market, including, in particular, structuring and incorporating corporate vehicles, assisting in drafting and negotiating documents with contractors, obtaining requisite permits and concessions.
  • Advice on determining the corporate governance of a Polish corporate group owned by a French optical glass manufacturer.
  • Advising on acquisition of a Polish food producer by a private equity fund.
  • Advising on acquisition of a Polish courier company by a leading courier firm owned by a French holding company.
  • Advising on a private equity fund's exit from its investment in a Polish group of food industry companies.
  • Advising on a project to restructure the operations of a leading global hotel company.
  • Drafting documentation for private equity transactions between leading French and Iranian car manufacturers.
  • Due diligence review of members of a Polish corporate group in connection with acquisition by a foreign private equity fund.
  • Day-to-day corporate services for companies.
  • Participation in negotiations and drafting distribution agreements for a Polish petrochemical client with Iranian and Kuwaiti suppliers.
